TERMS AND CONDITIONS

This Client Services Agreement (“Agreement”) is entered into, and is effective as of the Agreement Date (listed above) by and between Emily Gibby Photography and Gibby Visuals, Inc. (dba: Emily Gibby Photography)  (collectively, “EGP”) and the person(s) identified as the Client (listed above).

Please read and accept the following statements by checking the terms and conditions box on the album order page.  By doing so, you agree that you have read and understand the agreement terms

Album Type
I, client, agree that I am purchasing the album(s) selected on the online order form.

Album Design and Production payment:
Client shall pay the total cost of Album design and production to EGP to provide design services pursuant to the Album Type described above (the “Album type”). This covers EGP’s time and talent and one revision (if requested), production costs and shipping and is non-refundable, should the Client no longer desire the album.  Client shall pay the full amount before EGP places the album order. If Client fails to pay the full amount at the time of ordering, the album order will be canceled. If Client pays with a check, and the check is returned or rejected by the bank, for any reason, Client shall pay EGP a  $30.00 fee, and the balance must then be paid (in cash only) within five (5) days. Every day after the allotted five day grace period, there will be a  $10.00 fee, per day, for every day it is late.

Cancellation:
After the album order has been placed, Client acknowledges they may not cancel the order. All monies are non-refundable.

Standard Price List
The charges in this Agreement are based on EGP’s Standard Price List. This price list is adjusted periodically and future orders shall be charged at the prices in effect at the time when the order is placed. Current pricing is only honored after this agreement has been signed and the full amount of the album has been paid.

Dissatisfaction
Client shall receive 1 (one) revision after reviewing the album draft.

After the final draft has been approved by Client, EGP is not responsible if Client is unhappy with the results of the album, due to matters outside of EGP’s control. To include, but not be limited to album layout, client’s cover choice, etc.

No Liability
Client hereby agrees to waive or release any and all rights that it or its heirs may have to make a claim against EGP, arising from any damages to the product. Client further agrees to indemnify, and defend EGP from any claim, liability, loss, damage, cost, or expense (including without limitation reasonable attorney’s fees) arising out of or related to the Services, any actions taken by Client in connection to the Services, any violation of any third party’s rights or any violation of law or regulation.

Miscellaneous
This Agreement incorporates the entire understanding of the parties. Any waiver of a breach or default here under shall not be deemed a waiver of a subsequent breach or default of either the same provision or any other provision of this Agreement. Any modifications of this Agreement must be in writing and signed by both parties. This Agreement shall be governed by the laws of the Commonwealth of Virginia.

I, Client, understand that upon signing this agreement and paying, I am fully authorizing the album design for the provided images. EGP will have 7 business days to complete the draft of the albums.
